1. Introduction & Services

Everyday AI, LLC ("Company," "we," "us," or "our") provides services including one-time challenges, courses, memberships, Adaptive Lead Magnets (ALMs), and a managed GoHighLevel (GHL) platform. By using these Services, you agree to these Terms.

2. Membership, GHL Subscription, & ALM Usage

a. ALM Usage Limits

Your membership includes a license to use our proprietary Adaptive Lead Magnets (ALMs). Each active account is limited to 1,000 ALM "uses" or "generations" per month. We reserve the right to adjust these limits or charge overage fees for usage exceeding this threshold, upon notice to you.

b. Billing, Renewal, & Price Changes

• Recurring Billing: The Membership is billed on a monthly recurring basis at the rate specified at the time of purchase (for example, $197/month or $99/month under Founder’s Pricing). Your payment method will be automatically charged each month on the same day you originally enrolled, unless canceled in accordance with these Terms.
• Founder’s Pricing: Refers to a discounted rate offered to early members. Members who enroll under this rate will retain that discounted rate for as long as their Membership remains active and uninterrupted. If a Membership is canceled or payment fails and access lapses, re-enrollment will occur at the current standard rate.
• Billing Authorization: By providing your payment information and enrolling in the Membership, you authorize Everyday AI, LLC (and its designated third-party payment processors) to automatically charge your payment method on a recurring monthly basis until you cancel. You acknowledge and agree that recurring charges will continue unless and until you cancel your Membership in accordance with these Terms. You also agree to maintain valid and up-to-date payment information. If your payment fails, access to the Membership may be suspended until payment is successfully processed.
• Pricing Adjustments: We reserve the right to change our subscription pricing. Active members will be notified via email at least 30 days prior to any price changes taking effect.

c. Cancellation & Termination

• Revocation of Access: Upon cancellation or payment failure, all access is revoked at the end of the billing cycle. This includes access to ALMs, GHL sub-accounts, and all data/leads therein.
• Effective Date: Cancellations take effect at the end of your current billing cycle, meaning you will continue to have access until the end of the paid month. To avoid being charged for the next billing period, cancellation requests must be received at least 24 hours before your renewal date.

3. GHL Costs and Usage Fees (Client Responsibility)

The monthly membership fee covers platform access only. You are solely responsible for:

• GHL Usage Fees: Email (LC Mail), Phone/SMS (LC Phone and Twilio), Add-Ons, and AI Content/Workflow/AI Employee credits.
• $10 Monthly Credit: We provide $10/month in non-refundable, non-transferable credits to offset these fees. Credits roll over but are forfeited upon cancellation.

4. Restrictions on Use of Materials & Intellectual Property

a. Non-Transferable License

We provide marketing assets (including but not limited to images, videos, ad copy, email workflows, and funnel templates) to help you promote the ALMs.

• Permitted Use: You may use these assets solely to promote your own business and the ALMs provided through your membership.
• Prohibitions: You are strictly prohibited from selling, leasing, or gifting these assets to other businesses, agencies, or individuals.

b. Proprietary Materials

All materials provided during our Services, including but not limited to presentations, templates, worksheets, recordings, and proprietary methods, are the intellectual property of Everyday AI, LLC. Participants and clients are strictly prohibited from copying, reproducing, distributing, selling, or using any materials for commercial purposes without express written permission from Everyday AI, LLC. Violation of this clause may result in legal action and immediate termination of access to Services.

5. Indemnification & Release of Liability

a. Client Content & Actions

You are solely responsible for the content you upload to your GHL account and the actions you take within the platform. You represent and warrant that you own or have the necessary licenses for any copyrighted materials (images, copy, logos) you add to your GHL account.

b. Indemnification Clause

You agree to indemnify, defend, and hold harmless Everyday AI, LLC, its officers, and employees from and against any and all claims, damages, or legal fees arising out of:

1. Your use or misuse of the ALMs (including any "hallucinations" or errors produced by the AI).
2. Any claims of copyright infringement related to materials you uploaded to the platform.
3. Your violation of any telecommunications laws (TCPA/CAN-SPAM) while using GHL communication tools.
4. Any disputes between you and your customers resulting from the use of our tools.

7. Refund Policy

• Monthly Memberships: Monthly subscriptions are non-refundable. No pro-rated refunds are offered for unused credits or partial months.
• One-Time Challenges and Courses: You may request a full refund by the end of the day of the first event (e.g., class or session) that is part of your challenge or course. To request a refund, please email us at [email protected]. After this period, no refunds will be issued, except in cases where the event is canceled by Everyday AI, LLC.

8. Code of Conduct

Participants and clients are expected to engage respectfully and ethically. Any form of harassment, cheating, or unethical behavior will result in immediate disqualification or termination of Services.

9. Use of Submissions

By submitting content as part of any Service, participants grant Everyday AI, LLC a non-exclusive, worldwide, royalty-free license to use, reproduce, and display their submissions for promotional, marketing, and educational purposes.

10. Modification of Terms

We reserve the right to modify or terminate any of our Services or these Terms at any time without prior notice. Any updates to these Terms will be posted on our website and will take effect immediately.
